Enterprise agreement

Signed contracts, service levels and invoicing for teams whose policies require them.
Most requests don’t need one
Most of what procurement and security teams need is already published, and applies to every account. You do not need to ask us for any of it:
- Data processing agreement: pre-signed, GDPR Article 28. File it; no signature from us is required.
- Security & sub-processors: where your data is processed, who processes it, retention and deletion, and our current certification status.
- Terms of service: our standard agreement, which applies to every account.
- Privacy policy and GDPR.
- Pricing: one public rate card. What you see is what every customer pays.
Paying by bank transfer. If your finance team cannot pay by card, we issue a pro-forma invoice for the amount you want to add to your balance, and credit it when the transfer arrives. Email support@prooftell.com. This does not require an enterprise agreement.
Most customers, large organizations included, can go live on these documents alone.
When you do need one
An enterprise agreement is for organizations whose internal policies require commitments we cannot make on published terms:
- A signed master services agreement, or our service added to your own contract paper.
- A service level agreement: a defined availability target, compensation when it is missed, and support response times.
- A negotiated data processing agreement, rather than our published one.
- A bespoke security assessment or vendor questionnaire.
- A purchase order and invoicing against it.
- Supplier onboarding: vendor forms and registration on your procurement platform.
What it costs
It depends on how much of the paper is ours. One signature on our standard documents is half a day’s work; weeks of forms, reviews and approvals are not, and it would not be fair to charge both the same. So there are two prices.
| Agreement | What it covers | Annual fee |
|---|---|---|
| Standard | Our master services agreement, service level agreement and data processing agreement, signed as they are. Invoicing against your purchase order. | $1,500 |
| Custom | Your contract paper, or changes to ours. A negotiated data processing agreement. Supplier onboarding forms and portals. A bespoke security assessment. | From $5,000, quoted |
A custom agreement is quoted in writing before any work starts, and the quote is fixed. Two things move it above the floor: the work (how many documents, rounds of review and forms) and the commitments you ask us to take on beyond our standard terms.
Either fee is invoiced on signature and covers the commitments and the work behind them. Your usage is billed separately, at the same rates you can see on the pricing page.
What you are buying is certainty: obligations in writing, signed, that we can be held to. That is a different thing from a lower unit price, and an agreement does not come with one: the rate card is the same for every customer. Volume is rewarded on the money: a bonus on larger top-ups and, for contracts paid by invoice, a discount on the invoice.
If volume is what you want to discuss, we are happy to have that conversation on its own. Tell us about your volumes and we will talk it through.
How it works
- Tell us what your policy requires. Write to us and name the specific clause, document or questionnaire. The more precise you are, the faster we can tell you whether you need an agreement at all. Often the published documents already cover it.
- We come back with a straight answer. Either the document you need already exists and we point you to it, or we tell you which agreement fits and, for a custom one, set out the scope and the fee in writing. We reply to every inquiry.
- Order form. A single page naming the parties, the fee, the term and the documents it incorporates. Signing it is what starts the work.
- Then the paper. We are happy to work from your contract where you have one, subject to our standard service schedule; ours is available if you would rather start from a draft. Security questionnaires and assessments are completed at this stage.
- Signature and invoice. We invoice the agreement fee on signature. Usage is paid as on every account: by card, or against an invoice that is credited to your balance when the payment arrives.
How long this takes depends mostly on your side. Where no changes are requested it tends to move quickly, and we will tell you if something on our side is going to be slow.
Start here
If you have read the published documents above and still need contractual commitments, get in touch and tell us which ones. If you are not sure, send us your security questionnaire or the clause your policy requires and we will tell you honestly whether an agreement is needed. Often it isn’t.
